These Terms of Service (“Terms”) are an agreement between you and Etchd (“Etchd,” “we,” “us,” or “our”) governing your use of the Etchd application and related services (the “Service”), which turns podcasts and other source material into social media posts and schedules them across the channels you connect. By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Eligibility and accounts
You must be at least 16 years old and able to form a binding contract to use Etchd. You register with an email address that we verify with a one-time code. You are responsible for keeping access to your email inbox secure, for all activity under your account, and for the accuracy of the information you provide. Notify us promptly at support@etchd.app if you suspect unauthorized use.
2. Beta status
The Service is currently offered as a beta. It may be incomplete, change without notice, contain bugs, or be unavailable at times. Features may be added, modified, or removed, and limits may change. We may also discontinue the beta or the Service. You should not rely on the Service as your sole system of record and should keep your own copies of important content.
3. Your content and responsibility for publishing
You retain ownership of the source material you provide and the posts you create or schedule (“Your Content”). You grant us a limited license to host, process, and transmit Your Content as needed to operate the Service — including drafting, generating, scheduling, and publishing posts to the channels you connect.
You are solely responsible for everything you publish through Etchd. This includes content you write, content the AI drafts that you choose to schedule or post, and the timing and targeting of those posts. You are responsible for ensuring you have the rights to the material you upload and that what you publish is lawful and accurate.
You must comply with the rules of each platform you publish to. Every social platform has its own terms, content policies, and automation and rate limits. You are responsible for following them. Etchd publishes through the Zernio aggregator and does not guarantee that any post will be delivered, accepted, or kept live by a given platform, and is not responsible for actions a platform takes against your account.
4. Acceptable use
You agree not to use the Service to:
- Post content that is illegal, infringing, defamatory, harassing, hateful, or deceptive.
- Send spam or violate the automation, rate-limit, or content rules of any connected platform.
- Infringe intellectual property, privacy, or publicity rights, or misappropriate others’ work.
- Upload malware, attempt to breach security, or interfere with the Service or its infrastructure.
- Reverse engineer, scrape, or resell the Service except as permitted by law.
- Impersonate others or publish on accounts you are not authorized to use.
- Generate or distribute content that violates applicable law or the rights of others.
We may remove content or suspend accounts that we reasonably believe violate these Terms or create risk for Etchd, its providers, or other users.
5. Connected accounts
When you connect a social channel, you authorize Etchd, through the Zernio aggregator, to publish on your behalf to that channel. You may disconnect a channel in the app at any time. Disconnecting in Etchd may not revoke access on the platform’s side; to fully revoke authorization, also remove Etchd or Zernio from the connected-apps settings on each platform. 6. AI-generated content
Etchd uses an AI model gateway to generate post text and images from your inputs. AI output may be inaccurate, biased, incomplete, or similar to other content, and it is not legal, financial, or professional advice. You are responsible for reviewing AI output before publishing and for ensuring it is appropriate and lawful. We make no guarantee that generated content is original or non-infringing.
7. Payments and plans
The beta is currently free. When paid plans become available, fees, billing cycles, and refund terms will be presented at the point of purchase, and payments will be processed by Stripe. By subscribing, you authorize recurring charges until you cancel. Unless required by law or stated otherwise, fees are non-refundable. We may change pricing on a going-forward basis with reasonable notice.
8. Third-party services
The Service depends on third parties, including Zernio (publishing), InsForge (backend infrastructure), an AI model gateway and its model providers, and Stripe (future payments). Your use of those features may also be subject to the third parties’ terms. We are not responsible for third-party services, and their availability or behavior is outside our control.
9. Disclaimer of warranties
The Service is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, error-free, or that posts will publish successfully, on time, or remain available on any platform.
10. Limitation of liability
To the maximum extent permitted by law, Etchd and its suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, or goodwill, arising out of or related to your use of the Service — even if advised of the possibility of such damages. To the maximum extent permitted by law, our total aggregate liability for all claims relating to the Service will not exceed the greater of the amount you paid us in the three months before the claim or USD $50.
11. Indemnification
You agree to indemnify and hold harmless Etchd and its providers from claims, damages, liabilities, and expenses (including reasonable legal fees) arising from Your Content, your use of the Service, your violation of these Terms, or your violation of any platform’s rules or any third party’s rights.
12. Termination
You may stop using the Service and delete your account at any time by emailing support@etchd.app or using any in-app option. We may suspend or terminate your access at any time, with or without notice, if we reasonably believe you have violated these Terms, created risk for Etchd or others, or if we discontinue the Service. Sections that by their nature should survive termination — including content licenses you granted, disclaimers, limitations of liability, and indemnification — will survive.
13. Changes to these Terms
We may update these Terms from time to time. When we do, we will revise the effective date above and, for material changes, provide reasonable notice through the Service or by email. Your continued use after changes take effect means you accept the updated Terms.
14. Governing law
These Terms are governed by the laws of [Jurisdiction to be determined], without regard to its conflict-of-laws rules, and any disputes will be resolved in the courts located there, unless applicable law requires otherwise.
